or change in the business operations of the distressed public
company, not to fund a turnaround or attempt to fix the existing
business of the depressed public company.

redirection, including acquisitions by the public company. The
redirected public company shall acquire the business operation
of a profitable private company. This acquired company should
have a solid management team and an executable and scalable business
plan to grow. A new equity investment or loan will be used by
the borrowing public company to acquire controlling or total interest
in a profitable private company for cash and/or stock of the redirected
public company and/or subordinate notes to the sellers of the
private company.
